Our Content: The Content is owned by or licensed to Ephelion and is subject to copyright and other intellectual property rights. You may not use, reproduce, distribute, modify, or create derivative works of our Content without our express written permission.

Your Content: By posting, uploading, or submitting content to our Services ('User Content'), including business listings, reviews, photos, and comments, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the privacy, publicity, copyright, or other rights of any person
• Your User Content does not contain any material that could be considered defamatory, obscene, or illegal

We reserve the right to remove any User Content that, in our judgment, violates these Terms or may be offensive, illegal, or violate the rights of any person.

Ephelion provides a platform for businesses to create listings and connect with potential customers. Our Services include:

• Business Profiles: Create and manage your business listing with details like location, hours, photos, and descriptions
• Discovery Features: Help customers find businesses through search, categories, and location-based recommendations
• Direct Communication: Enable direct contact between businesses and potential customers
• Community Features: Reviews, ratings, and community-driven content

Important: Ephelion is a discovery and connection platform only. We do not facilitate transactions, process payments, or handle purchases between businesses and customers. Any transactions occur directly between businesses and customers outside of our platform.

Business owners are solely responsible for the accuracy of their listings and compliance with all applicable laws and regulations regarding their business operations.

Ephelion is not a marketplace and does not process transactions. Our platform is designed solely for business discovery and community connection. Specifically:

• We do not facilitate purchases, orders, or bookings
• We do not process payments or handle money transfers
• We do not have shopping cart or checkout functionality
• We are not responsible for any transactions between businesses and customers

Any business transactions, agreements, or arrangements made between users and businesses listed on our platform are solely between those parties. Ephelion is not a party to any such transactions and shall not be held liable for any disputes, claims, or damages arising from such transactions.

We encourage users to exercise due diligence when engaging with businesses discovered through our platform.

Disclaimer of Warranties: Our Services are provided on an 'as is' and 'as available' basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of business listings
• Warranties that our Services will meet your requirements or be available uninterrupted, secure, or error-free
• Warranties regarding the quality or reliability of any business listed on our platform

Limitation of Liability: To the fullest extent permitted by law, in no event shall Ephelion, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from interactions with businesses discovered through our platform
• Damages resulting from any content posted, transmitted, or made available through our Services
• Damages resulting from unauthorized access to or use of your account or information

You agree to indemnify, defend, and hold harmless Ephelion, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of or access to our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content, including business listings and reviews
• Any interactions or transactions with businesses or users discovered through our platform

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

We may terminate or suspend your account and access to our Services at any time, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Posting fake reviews or misleading content
• Harassing businesses or other users
• At your request
• If we believe termination is necessary to protect our Services, users, or third parties

Upon termination:

• Your right to use our Services will immediately cease
• We may delete or archive your account information and User Content
• Business listings associated with your account may be removed

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
