You agree to indemnify, defend, and hold harmless Ephelion, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use of or access to our Services
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your User Content
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
We may terminate or suspend your account and access to our Services at any time, without prior notice or liability, for any reason, including but not limited to:

- Engaging in prohibited conduct
- At your request
- If we believe termination is necessary to protect our Services, users, or third parties
Upon termination:

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
